Marvell agreed November 2 to acquire Lumentum at an implied $115 billion enterprise value, in a pending deal combining semiconductor and optical networking capabilities for AI infrastructure.

## The big change

- Marvell’s interconnects and switches would join Lumentum’s lasers and transceivers.
- Optical links connect electrical network equipment by converting signals to light and back again.
- Closing requires shareholder and regulatory approvals.

## What the technology connects

In an optical network link, a transceiver turns electrical signals into light for transmission over fiber; at the other end, a receiver converts the light back into electrical signals. Lasers provide light and electronics handle signal processing. [Cisco’s silicon photonics explanation](https://www.cisco.com/c/en/us/products/collateral/interfaces-modules/transceiver-modules/silicon-photonics-wp.html) describes how the optical and electronic portions can be paired within a module.

That link is part of a larger network, not a replacement for the switches at its ends. In a [2017 account of its own data-center design](https://engineering.fb.com/2017/03/08/data-center-engineering/designing-100g-optical-connections/), Meta described connecting switches through fiber, patch panels and transceivers. It also described the cost and disruption of replacing fiber when upgrading links. That example illustrates why operators must consider the entire connection, not just an individual module.

The companies say closer electrical and optical co-design could deliver prevalidated solutions to customers faster. That is their expectation for after closing, not a demonstrated result.

## Terms and timing

Both boards approved the all-stock agreement. Lumentum shareholders would receive 4.500 Marvell shares per Lumentum share, or about 33% of the combined company on a fully diluted basis.

Closing, expected in the first half of 2028, requires both companies’ shareholder and regulatory approvals and other customary conditions. The announcement does not demonstrate a combined product or deployment.

BIG CHANGE previously covered [Lumentum’s reported optics capacity commitments](https://bigchange.ai/blog/lumentum-ai-networking-optics-capacity-2029), a separate development.
