Microsoft priced $25 billion in senior unsecured notes on October 29. Closing is expected November 4.

## The big change

- Borrowing adds a potential funding source as Microsoft invests in cloud and AI infrastructure. Microsoft did not specify an AI allocation.
- Its quarterly accounts show rising property and equipment spending alongside substantial operating cash flow; neither figure isolates AI.
- Debt carries interest and repayment obligations, while the announced uses leave management discretion over where proceeds go.

## A broad mandate for proceeds

The [announcement](https://news.microsoft.com/source/2026/10/29/microsoft-announces-debt-offerings-7/) lists $2 billion in floating-rate notes and $23 billion in fixed-rate notes, maturing between 2028 and 2066. Fixed coupons range from 4.85% to 6.35%.

Microsoft says net proceeds are for general corporate purposes, potentially including working capital, capital spending, share repurchases, acquisitions and debt repayment. A possible use is not a commitment to a particular project.

## Infrastructure spending and cash

In its [quarterly filing](https://microsoft.gcs-web.com/node/35416/html), Microsoft says it will continue capital investment supporting cloud growth, AI training and other infrastructure. Its earnings release reports $39.367 billion in cash additions to property and equipment in the quarter ended September 30, compared with $19.394 billion a year earlier.

Operating cash flow was $58 billion during the quarter; cash, equivalents and short-term investments totaled $64.509 billion at quarter-end. One is a quarterly flow; the other, a balance.

Neither figure establishes why Microsoft chose this offering or how proceeds will be allocated. BIG CHANGE compared Microsoft’s disclosures; it did not independently verify the eventual use of proceeds.
