US Justice Department officials have asked how Nvidia’s proposed purchase of Hugging Face would affect AI competition, Reuters reported on October 28, citing two people familiar with the matter.

## The big change

- Hugging Face helps developers find and share AI models and datasets. Ownership of that distribution route can affect competition if model makers depend on it to reach users and those users depend on it to find alternatives.
- The Hub is one part of a developer’s workflow; computing infrastructure is another. A model obtained from a repository can run elsewhere, so access to models and choice of hardware are related but distinct decisions.
- Nvidia says Hugging Face will remain open and developers will not have to use Nvidia compute. That promise addresses both the platform and hardware choice, while the terms of access and support would matter to developers if the deal closes.

## What the inquiry covers

[Reuters, republished by Investing.com](https://www.investing.com/news/stock-market-news/exclusiveus-doj-is-inquiring-about-nvidias-purchase-of-hugging-face-sources-say-4980450), reports that officials asked whether the purchase would give Nvidia control of an important AI distribution point, and asked about Hugging Face’s competitors. Nvidia declined comment; Hugging Face did not respond. The department declined specific comment.

BIG CHANGE has not obtained the investigation file or independently confirmed the questions reported by Reuters.

## What Nvidia says it is buying

Nvidia [announced the acquisition](https://blogs.nvidia.com/blog/nvidia-to-acquire-hugging-face/) in September for $12.93 billion.

Nvidia’s [SEC filing](https://www.sec.gov/Archives/edgar/data/1045810/000104581026000078/nvda-20260902.htm) describes approximately $11.9 billion payable to Hugging Face shareholders, subject to adjustments, and a separate equity retention program of up to approximately $1 billion for employees joining Nvidia. The rounded figures and retention maximum do not establish an exact sum for the reported price. Nvidia expects the deal to close in the first half of 2027, subject to conditions including required regulatory approvals.

The filing says the company has committed to keep the platform open consistent with existing practices, including allowing users to upload and download models and datasets of their choosing and supporting other chip vendors.

## Why the distribution route matters

[Hugging Face’s Hub documentation](https://huggingface.co/docs/hub/en/index) describes repositories for models and datasets, with tools for finding, uploading and downloading them. Model cards can describe intended uses and limitations.

Access to the repository can therefore matter to a model publisher seeking users as well as to the user choosing a model or hardware provider. The documentation describes the workflow; it does not measure how difficult it would be for users or publishers to switch elsewhere.

The [2023 DOJ and FTC Merger Guidelines](https://www.justice.gov/atr/merger-guidelines/applying-merger-guidelines/guideline-5) discuss a general concern that a merged firm might limit rivals’ access to a service or route to market they use to compete. The agencies consider factors including the significance of that access and the merged firm’s ability and incentive to restrict it. The guidelines also discuss risks involving access to rivals’ competitively sensitive information.

For this transaction, the relevant evidence would include the services at issue, available alternatives and Nvidia’s incentives and commitments. These guidelines are general context, not an account of the department’s position on this deal. The reported inquiry leaves its outcome unresolved.
